1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Skicn Club ("we," "us," or "our"), concerning your access to and use of the Skicn Club mobile application (the "App"), our website at skicnclub.com (the "Website"), and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

You agree that by accessing or using the Services, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

2. Eligibility

The Services are intended for users who are at least 16 years of age. By using the Services, you represent and warrant that you:

1. Are at least 16 years of age;
2. Have the legal capacity and agree to comply with these Terms;
3. Are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services;
4. Will not access the Services through automated or non-human means, whether through a bot, script, or otherwise;
5. Will not use the Services for any illegal or unauthorized purpose; and
6. Will not violate any applicable law or regulation in connection with your use of the Services.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

3. User Accounts

3.1 Account Creation and Responsibility

You may need to register for an account to access certain features of the Services. When you register, you agree to:

1. Provide accurate, current, and complete information;
2. Maintain and promptly update your account information;
3. Maintain the security of your account by not sharing your password and restricting access to your account;
4. Promptly notify us if you discover or suspect any security breaches related to your account; and
5. Take responsibility for all activities that occur under your account and accept all risks of unauthorized access.

3.2 Account Termination

We reserve the right to:

1. Suspend or terminate your account;
2. Delete any content or information that you have posted; and
3. Bar your access to any or all of our Services

with or without notice and without liability to you if we have reason to believe that you have violated these Terms, violated applicable laws, rules, or regulations, or for any other reason at our sole discretion.

4. Services and Subscription

4.1 Service Description

Skicn Club offers a mobile application and related services for skin analysis and personalized skincare recommendations. Our AI-powered technology analyzes your skin condition through smartphone photos and provides tailored advice and product recommendations.

4.2 Free and Premium Features

The Services may include both free and premium features that require payment. Features available only to premium users will be clearly marked within the App or Website.

4.3 Subscription Terms

If you choose to purchase a premium subscription:

1. You agree to pay all fees in accordance with the billing terms in effect at the time of your initial subscription or renewal;
2. Subscriptions automatically renew for the same period unless canceled at least 24 hours before the end of the current period;
3. You authorize us to charge your chosen payment method for the subscription fees;
4. Subscription fees are subject to change upon notice prior to renewal; and
5. Cancellations take effect at the end of the current billing period.

4.4 Trials and Promotions

We may offer trial subscriptions or promotional rates. You will be notified prior to the end of any trial period about the subscription price and renewal terms. Unless you cancel before the trial ends, you will be charged the regular subscription fee.

5. User Conduct and Content

5.1 Acceptable Use

By using our Services, you agree not to:

1. Use the Services in any way that violates any applicable law or regulation;
2. Impersonate or attempt to impersonate the company, a company employee, another user, or any other person;
3. Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services;
4. Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use;
5. Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose;
6. Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material;
7. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
8. Attack the Services via a denial-of-service attack or a distributed denial-of-service attack; or
9. Otherwise attempt to interfere with the proper working of the Services.

5.2 User Content

When you upload content to our Services, including skin photos and information:

1. You retain ownership of your content, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it in connection with providing the Services to you;
2. You represent and warrant that you own or control all rights to the content and have the right to grant us the license described above;
3. You understand that we may use anonymized and aggregated data derived from user content to improve our Services and algorithms; and
4. You agree not to upload any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Skicn Club, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License to Use

These Terms permit you to use the Services for your personal, non-commercial use only. You must not:

1. Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms;
2. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services;
3. Access or use the Services for the purpose of building a competitive product or service; or
4. License, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Services.

6.3 Trademark Notice

The Skicn Club name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Skicn Club or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

7. Third-Party Content and Links

The Services may contain links to third-party websites or services, including product recommendations. We are not responsible for:

1. The content or accuracy of any third-party websites or services;
2. The privacy practices or terms of service of third-party websites or services;
3. Any damage or loss caused by your use of or reliance on third-party websites or services; or
4. The availability or functionality of any third-party websites or services.

Your use of third-party websites or services is at your own risk and subject to the terms and conditions of those third parties.

8. Health Disclaimer

The Services provide skin analysis and recommendations for informational purposes only and are not intended to substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

We do not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned in the Services. Reliance on any information provided by the Services is solely at your own risk.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SKICN CLUB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

YOU USE THE SERVICES AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SKICN CLUB NOR ANY PERSON ASSOCIATED WITH SKICN CLUB MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

WITHOUT LIMITING THE FOREGOING, NEITHER SKICN CLUB NOR ANYONE ASSOCIATED WITH SKICN CLUB REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Skicn Club, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts of England and Wales. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Waiver and Severability

No waiver by Skicn Club of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Skicn Club to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

15. Entire Agreement

These Terms, our Privacy Policy, and any other agreements or policies referenced herein constitute the sole and entire agreement between you and Skicn Club regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
